Herrington Carmichael advised two landowners on easement arrangements for a major renewable energy project

Jamie Lynch, Partner and Amery Harilal, Solicitor acted for two landowners in connection with an Option for an Easement to be granted for the benefit of an energy provider as part of the provider’s wider renewable energy project.

Negotiations of the Option Agreement and Deed of Easement were extensive, involving seven rounds of amendments to both documents, together with an all-parties meeting requiring detailed commercial and legal discussions. The transaction was also highly time-sensitive, with the energy provider imposing imminent deadlines as a negotiation tactic during the matter.

Throughout the transaction, careful attention was given to balancing the parties’ objectives and facilitating progress towards completion, whilst ensuring that the documentation accurately reflected the clients’ instructions, addressed their specific concerns, and safeguarded their interests.

Through strong project management, strategic negotiation, and an initiative-taking approach to meeting the demands of a fast-moving transaction, the team successfully navigated the commercial pressures of the matter and secured completion with final-form documents that protected the clients’ long-term interests in their land.

“As landowners approached by a developer seeking an easement for high-capacity electricity infrastructure, to serve a data centre and Battery Energy Storage System (BESS) project, we required legal support to navigate a complex transaction. Amery and Jamie provided clear and practical advice throughout the process.

They engaged constructively with the other party and negotiated firmly on our behalf to secure terms that reflected our requirements. They were also receptive to our specific concerns regarding the long-term use of our land, helping to secure mitigations aimed at minimising the impact of the easement on any future development potential.

Their guidance and responsiveness helped us manage the process and achieve an outcome that reflected our objectives. We would be pleased to recommend Amery and Jamie to others involved in Energy & Renewables and infrastructure projects.”
