Mphasis acquisition of Datalytyx assisted by Herrington Carmichael

Datalytyx, a leading next-gen data engineering and consultancy company, providing Next-gen Data Engineering, Data Ops and Master Data Management solutions on Snowflake and Talend environments to clients globally, was acquired by Mphasis, (BSE: 526299; NSE: MPHASIS), an Information Technology (IT) solutions provider specialising in cloud and cognitive services.

Mphasis Press Release >

Herrington Carmichael’s, Head of Corporate and M&A team leader, Yavan Brar managed the transaction which saw Datalytyx and its shareholders complete a pre-sale reorganisation and transfer of part of its business to a separate corporate group (with holding company DataOps.live) prior to the sale of the entire issued share capital of Datalytyx to Mphasis.

Yavan was assisted on the corporate and reorganisation elements of the transaction by Senior Solicitor, Matthew Lea, with Commercial Partner, Mark Chapman and his team, acting on the commercial elements and Michelle Lamberth and her team dealing with the corporate governance aspects of the transaction.

With a handful of the shareholders of Datalytyx being located in overseas jurisdictions and the challenges Covid-19 has brought for signatures to be obtained in person, Herrington Carmichael’s team were able to oversee an e-signature process to sign over 600 transaction documents.

Herrington Carmichael team members assisting on the deal: Christopher Gemson and Emma Roper (Corporate), Alistair McArthur and Chantelle De Filippis (Employment), Cesare McArdle and Alex Collinson (Commercial).

Alantra Corporate Finance LLP’s Simon Roberts advised on the corporate finance matters.

Justin Mullen, Co-Founder, Datalytyx said:

“We had been working with HC as our corporate lawyers for many years so they were the obvious choice to support us in this process. Yavan and his team were excellent as they worked diligently with us throughout the process and we owe them a great deal of thanks for removing as much burden from us as they could. This allowed us to continue to run our business with limited impact during a time consuming process.”

John Webb, Co-Founder, Datalytyx
“Yavan and his team led us through the tasks with patience, good humour and were always professional. We were able to air queries & scenarios which we could challenge or be challenged on at various stages. The experience was supportive, collaborative, informative and the ultimate measure; productive.”

Guy Adams, Chief Technology Officer, Datalytyx
“Thank you to Yavan and his team for their advice, counsel and guidance; it’s fair to say that Yavan was instrumental in achieving completion in the time frame, providing us with expert support throughout, and drawing on the depth and experience of his excellent team to enable us to close – a big thank you to all involved. I look forward to working with you as we take DataOps.live forwards.”
