The Herrington Carmichael corporate team has advised the founder of a business and domestic software development company on the implementation of a growth share scheme for key employees.

The Client

A dynamic software development company operating in the online media, broadcasting, and content creation sectors. The business supports music brands and educational institutions with innovative digital solutions and is well-positioned for continued growth in the creative technology space.

The Challenge

The founder sought to implement a growth share scheme to incentivise key employees and align their interests with the long-term success of the business. The project required the drafting of a complex “waterfall” arrangement within the company’s constitutional documents to ensure that value created above a certain threshold would be shared appropriately among participants.

Our Approach

The Herrington Carmichael Corporate Team provided strategic and technical legal support throughout the process. Our work included:

  • Designing and implementing a bespoke growth share scheme, tailored to the company’s commercial objectives
  • Drafting a complex waterfall structure within the company’s articles of association to govern how value would be distributed among shareholders
