Advising Anglotech Group Limited on Strategic Acquisition and Financing

Herrington Carmichael LLP led by Yavan Brar, Managing Partner, successfully advised Anglotech Group Limited (Anglotech) on its acquisition of Four Digital Solutions (Holdings) Limited (Four Digital Solutions), alongside the financing of the acquisition which was provided by Thincats.

The Client

Anglotech is a UK office equipment and solutions provider. The company is focused on delivering tailored office technology solutions across the UK.

The Challenge

Anglotech is looking to grow through a buy-and-build strategy, and as such has acquired Four Digital Solutions, alongside the financing of the acquisition which was provided by Thincats

Four Digital Solutions, based in Hertfordshire, is a dynamic wholesaler of printers, photocopiers and other supporting office equipment. Four Digital Solutions’ point of difference is providing office solutions which are carefully thought out to meet the needs of a particular business, as opposed to a one-size-fits-all approach. This is epitomised in their “Be Unique” branded photocopiers, which allow customers to transform a standard copier into a branded photocopier for their workspace. They have also expanded their offering to incorporate other support functions such as rapid-response maintenance for machines, installation of smart software tools, and wider IT training and support.

Our Approach

Herrington Carmichael LLP led by Yavan Brar, Managing Partner, successfully advised Anglotech on its acquisition of Four Digital Solutions.

Herrington Carmichael’s Corporate and Company Secretarial teams provided integrated support on all elements of the transaction including negotiation of the transaction documents, financing of the acquisition, and post-completion work. Yavan Brar’s pragmatic advice on when to stand firm and when to compromise in negotiations played a key role in finalising the outstanding issues between the parties and bringing the matter to a timely completion, thus allowing Anglotech to refocus its efforts on other areas of its business and projects.

Further assistance was provided from Herrington Carmichael’s Property and Employment teams, whose responsiveness on providing advice at short notice proved crucial in bringing the matter to a successful close.

The Outcome

The acquisition will greatly expand Anglotech’s offering in the office equipment and solutions sector, which it has achieved through a series of buy and build strategic purchases in the United Kingdom, this being Anglotech’s 9th acquisition in total.
