Advising Kenmore Glendale on the Acquisition of Glendale Court Care Home

Herrington Carmichael’s corporate team have advised Kenmore Glendale (being a purchasing vehicle of Kennedy Sabapathy, CEO of the Kenmore Group) on its acquisition of Glendale Court care home.

The Client

Kenmore Glendale, a purchasing vehicle of Kennedy Sabapathy—CEO of the Kenmore Group—focused on the strategic acquisition and operation of high-quality care homes across the UK.

The Challenge

The client sought to acquire Glendale Court, a well-established care home located in the coastal town of Teignmouth. The property comprises two interlinked period buildings, offering accommodation for up to 37 residents across 34 ensuite bedrooms. The acquisition formed part of the client’s broader strategy to expand its care home portfolio, which now includes five homes across Dorset, Shropshire, and Devon.

Our Approach

The Herrington Carmichael Corporate, Real Estate, and Company Secretarial teams provided integrated legal support throughout the transaction. Our work included:

  • Negotiating and drafting the transaction documents, ensuring the client’s commercial objectives were protected
  • Managing the legal transfer of shares and property title, including coordination with lenders and funders
  • Advising on acquisition financing, ensuring a smooth and timely drawdown
  • Supporting post-completion matters, including company secretarial updates and transitional arrangements
