Yavan Brar (Partner) and Sophie Protheroe (Solicitor) advised the shareholders of KGB Cleaning South West Limited on the sale of the entire issued share capital of the company to an employee ownership trust (EOT).

The Client

KGB Cleaning South West Limited is a cleaning and support services company, providing services throughout London, the South, and the South West of England. In particular, the company services the education sector, having a variety of contracts with schools, academies, universities, and colleges.

Our Approach

Yavan and Sophie provided support and guidance throughout to assist in the change of control of the company, ensuring the transaction reflected the founders’ commercial goals, whilst also adhering to the relevant statutory requirements.

The Outcome

The company has a robust and valued workforce, and the founders are therefore delighted to have been able to provide the company’s employees with ownership through the EOT.
