Supporting business continuity through pre-pack administration

Supporting business continuity through pre-pack administration

The Herrington Carmichael corporate team continues to advise a leading regional firm of insolvency practitioners on a range of corporate insolvency matters.

The Client

A leading regional firm of insolvency practitioners with a growing portfolio of complex appointments across the UK.

The Challenge

The client was appointed as administrator to an electric vehicle (EV) charging point installation business. The business required a swift and structured pre-packaged administration sale to preserve value, protect jobs, and maximise returns for creditors. The transaction also involved deferred consideration, requiring appropriate legal safeguards, and an extension of the administration period via court order.

Our Approach

The Herrington Carmichael Corporate Team worked closely with the client to deliver a legally sound and commercially effective outcome. Our support included:

  • Advising on and structuring the pre-packaged administration sale, ensuring compliance with all statutory requirements
  • Drafting and negotiating sale documentation, including appropriate security arrangements over deferred consideration
  • Securing a court-ordered extension of the administration, enabling the client to complete the transaction in the best interests of creditors
The Outcome

The business was successfully sold through a pre-packaged administration, preserving its operations and enabling a return to creditors. The client praised the team for its consistent, high-quality legal and practical support throughout the process.

What the Client Said

A director of the client firm commented:

“As an Insolvency Practitioner, Ed has dealt with a number of business disposals on my behalf and the quality of his work never slips. Ed manages to combine the legal and practical aspects of a disposal with consummate ease and it certainly makes my life a lot easier knowing that he is dealing with the legals on my behalf!”

What Our Team Said

Edward Beedham, Senior Solicitor, commented:

“We are pleased to support the client on this matter and value our continued relationship as they take on more complex appointments across the region.”

The Team

The project was led by Edward Beedham, Senior Solicitor, with support from Michelle Lamberth, Senior Paralegal.
