Advising a leading forestry business on the implementation of a Company Share Option Plan

The Herrington Carmichael corporate team has advised the UK’s leading sustainable forestry and harvesting company on the implementation of a company share option plan.

The Client

The UK’s leading sustainable forestry and harvesting company, with over 30 years of experience supporting clients in the creation, management, and maintenance of woodlands. The business is known for its skilled workforce and commitment to delivering high-quality, environmentally responsible services.

The Challenge

As part of its long-term growth and retention strategy, the client sought to implement a Company Share Option Plan (CSOP) to reward and incentivise key team members. The project also required the creation of unapproved share options for individuals who did not qualify under the CSOP scheme, alongside a pre-transaction reorganisation to support the new structure.

Our Approach

The Herrington Carmichael Corporate Team provided end-to-end support in designing and implementing the employee incentive scheme. Our work included:

  • Advising on and completing a pre-transaction reorganisation to facilitate the share option structure
  • Drafting CSOP option certificates and scheme rules
  • Preparing unapproved option documentation for non-qualifying individuals, ensuring consistency and clarity across the scheme
  • Providing strategic guidance to align the incentive structure with the company’s long-term goals

The share option plan was successfully implemented, enabling the client to recognise and reward key employees while supporting future growth. The scheme was tailored to reflect the company’s values and commercial objectives, reinforcing its commitment to its team.
