Advising Sentra Technology Holdings Limited on Strategic Acquisition

Herrington Carmichael’s Corporate team, led by Yavan Brar, Managing Partner, has successfully advised Sentra Technology Holdings Limited (Sentra), an IT-focused acquisition vehicle of private capital provider Trihaven Capital Limited (Trihaven), on its acquisition of ITDS Group Holdings Limited and its trading subsidiaries (the ITDS Group)

The Client

Sentra Technology Holdings Limited (Sentra) is an IT-focused acquisition vehicle of private capital provider, Trihaven Capital Limited (Trihaven).

Our Approach

Herrington Carmichael’s legal team provided integrated support on all elements of the transaction, including a pre-sale restructure, negotiation of transaction documents and equity structure, financing of the transaction, completion process, and post-completion work. Funding for the acquisition was provided by P1 Capital.

The Outcome

This acquisition marks the launch of Trihaven’s buy-and-build strategy for growth and acquisition investment in the industry, and will provide for a mutually beneficial relationship for all parties involved. Trihaven will assist the ITDS Group through investment in its growth journey, and complement its services by the acquisition of further businesses. The leadership of Jermaine Weeden (CEO) and Steven Hallissey (CFO) will provide Trihaven with the sector and technical expertise it needs to wisely invest in the industry, and ensure the ITDS Group meets its growth targets.
