Another consolidation for The Key Group carried out by Herrington Carmichael

Herrington Carmichael’s corporate team advised The Key Group, an educational support services group providing services to over 20,000 schools throughout the UK, on the acquisition of October Resolutions Ltd, a UK software company providing the ‘TimeTabler’ software, to expand the group’s offering to schools.

The acquired company provides the TimeTabler software, which provides support relating to planning and scheduling of school timetables, analysing students’ elective choices, ensuring staff absence cover as necessary, and other industry-leading support. Timetabler is used by more than 2,000 schools across 90 countries.

The acquisition by CBPE-backed The Key Group will enable it to offer leading timetabling software integrated into its family of MIS brands, giving schools and trusts an easy way to join up their timetabling and MIS workflows.

What the client said

“HC  have been excellent and tireless in their efforts to complete the acquisition. The team were always available and always prepared to find mutually acceptable ways of moving past any challenges when they arose. We value their counsel and support.”

The Team

Herrington Carmichael’s team were led by Yavan Brar (Head of Corporate & Commercial) and Sophie Protheroe (Solicitor, Corporate) with support provided by Chris Gemson (Senior Solicitor, Corporate), Michelle Lamberth (Senior Paralegal, Corporate), Cesare McArdle (Partner, Commercial) and Alex Collinson (Solicitor, Intellectual Property).
